Standard Terms and Conditions of Sale

These Standard Terms and Conditions of Sale (“Terms”) apply to all quotations, sales, purchase orders, invoices, and deliveries made by Mo-Clamp, LLC (“Mo-Clamp”). By placing an order, the purchaser agrees to these Terms.
1. Acceptance of Terms
These Terms govern all sales by Mo-Clamp, LLC. Any terms or conditions contained in a customer’s purchase order or other documents that conflict with or supplement these Terms are expressly rejected unless accepted in writing by an authorized representative of Mo-Clamp.
2. Pricing
All prices are subject to change without notice. Prices in effect at the time an order is accepted by Mo-Clamp shall govern unless otherwise agreed to in writing. Pricing does not include applicable taxes, freight, duties, or other governmental charges unless specifically stated.
3. Payment Terms
Unless otherwise agreed in writing, payment is due according to the payment terms stated on the invoice.
Past-due balances may accrue interest at the lesser of 1.5% per month (18% annually) or the maximum rate permitted by applicable law. Mo-Clamp reserves the right to suspend shipments, cancel outstanding orders, or require prepayment if an account becomes delinquent.
The customer agrees to pay all reasonable costs of collection, including attorney’s fees and court costs, incurred in collecting overdue amounts where permitted by law.
4. Shipping and Delivery
Shipping dates are estimates only and are not guaranteed.
Risk of loss and title transfer to the purchaser upon delivery of the products to the carrier unless otherwise agreed in writing.
The purchaser is responsible for inspecting shipments immediately upon receipt and reporting any shipping shortages or damage directly to the carrier and to Mo-Clamp.
5. Returns
Product returns require prior written authorization and a valid Return Material Authorization (RMA) issued by Mo-Clamp.
Returns are subject to the Mo-Clamp Returns and Warranty Policy in effect at the time of sale.
Unauthorized returns may be refused.
6. Warranty
Products are covered by the applicable Mo-Clamp Limited Warranty in effect at the time of purchase.
Except as expressly stated in that warranty, Mo-Clamp makes no other warranties, express or implied, including any implied warranties of merchantability or fitness for a particular purpose.
7. Limitation of Liability
To the fullest extent permitted by law, Mo-Clamp’s liability arising out of the sale or use of its products shall not exceed the purchase price of the product giving rise to the claim.
Mo-Clamp shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost business opportunities, or downtime.
8. Claims
Any claim regarding shortages, defects, shipping errors, or incorrect shipments must be reported to Mo-Clamp in writing within ten (10) business days after delivery.
Failure to provide timely notice constitutes acceptance of the products.
9. Taxes
The purchaser is responsible for all applicable federal, state, local, sales, use, value-added, import, export, customs, and similar taxes unless a valid exemption certificate has been provided before shipment.
10. Force Majeure
Mo-Clamp shall not be liable for delays or failure to perform caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, labor disputes, supplier shortages, transportation delays, governmental actions, war, terrorism, pandemics, or interruptions in utilities or communications.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to conflict of law principles.
Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Oregon, and the parties consent to the jurisdiction of those courts.
12. Entire Agreement
These Terms, together with any written quotation, invoice, purchase order accepted by Mo-Clamp, and applicable warranty documents, constitute the entire agreement between the parties and supersede all prior discussions, understandings, and agreements relating to the sale of products.
